THE CLEANING CLINICS

SERVICE AGREEMENT

This Service Agreement (“Agreement”) is entered into between The Cleaning Clinics (“Company,” “we,” “us”) and the undersigned Client (“Client,” “you”) for the provision of professional cleaning services. By accepting this Agreement, the Client agrees to all terms outlined below.


Scope of Services

The Company agrees to provide professional cleaning services (“Services”) as outlined in the approved walkthrough, proposal, or service schedule.

Services may include, but are not limited to:

  • General janitorial cleaning

  • Restroom and break area cleaning

  • Trash removal

  • Floor and surface care

Any services not expressly listed in the approved scope are excluded unless approved in writing by the Company. Verbal requests or assumptions do not modify the scope of Services.


Service Schedule & Access

Services will be performed on the agreed days and times as outlined in the approved service schedule.

The Client agrees to:

  • Provide safe, unobstructed access to all areas scheduled for cleaning

  • Ensure premises are accessible at the scheduled service time

  • Secure or remove valuables, fragile items, and sensitive materials

If access is unavailable or restricted, the Company may skip or reschedule the service at its discretion, and the service may still be billable.


Start Date & Term

Services will begin on the agreed start date following:

  • Acceptance of this Agreement, and

  • Receipt of any required payment

Unless otherwise stated in writing, this Agreement operates on a month-to-month basis and automatically renews.


Pricing & Payment Terms

  • Pricing is based on the approved scope, frequency, and square footage.

  • Payments are due in advance of each service period, unless otherwise agreed.

  • Accepted payment methods will be communicated at onboarding.

Failure to pay may result in:

  • Immediate suspension of services

  • Termination of this Agreement

  • Collection efforts for outstanding balances

The Company reserves the right to adjust pricing with written notice if service conditions materially change.


Cancellation & Termination

  • Either party may terminate this Agreement with 30 days written notice.

  • Termination with less than 30 days’ notice may result in charges equal to one service period.

  • The Company may terminate this Agreement immediately for:

    • Non-payment

    • Unsafe or hazardous conditions

    • Repeated access issues

    • Material breach of this Agreement


Client Responsibilities

The Client agrees to:

  • Maintain a safe working environment

  • Disclose known hazards or restricted areas

  • Secure fragile, valuable, or sensitive items

  • Communicate special requests or changes in advance and in writing

Failure to meet these responsibilities may result in skipped services, rescheduling, additional charges, or termination.


Service Standards & Quality

The Cleaning Clinics will perform services in a professional and consistent manner.

Any concerns regarding service quality must be reported within 24 hours of service completion. Concerns reported after this period may not be eligible for review.

The Company does not guarantee specific results. Outcomes may vary based on facility condition, usage, materials, and frequency of service.


Supplies & Equipment

Unless otherwise stated, the Company provides all standard cleaning supplies and equipment.

Specialty services, products, or equipment outside the standard scope may require additional approval and fees.


Damage & Liability

The Company is not responsible for:

  • Pre-existing damage

  • Normal wear and tear

  • Damage caused by unstable, improperly secured, or fragile items

  • Damage resulting from Client-provided equipment or materials

Any claims must be reported within 24 hours of service completion. Claims reported after this period are waived.

To the fullest extent permitted by law, the Company’s liability is limited to the value of the affected service.


Insurance

The Cleaning Clinics is fully licensed, bonded, and insured. Proof of insurance is available upon request.


Independent Contractor Relationship

Nothing in this Agreement creates an employment, partnership, or joint venture relationship between the parties.


Modifications

This Agreement may only be modified in writing and must be agreed to by both parties. Verbal agreements are not binding.


Governing Law

This Agreement shall be governed by the laws of the state in which the services are performed.


Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, representations, or agreements.


Acceptance

By accepting this Agreement electronically or in writing, the Client confirms that they have read, understand, and agree to all terms stated above.
